1. Parties and scope
Halvora is a brand operated by Poulou LLC. These Terms & Conditions ("Terms") apply to advisory engagements commissioned from Poulou LLC, trading as Halvora ("Halvora", "we", "us"), by an organization or individual ("the Client"). They apply to the following engagements as described on the Solutions page:
- Technology Advisory (2 weeks, USD 4,800)
- Systems & Infrastructure Review (4 weeks, USD 12,500)
- Enterprise Transformation Strategy (8 weeks, USD 38,000)
2. Nature of the services
Halvora provides independent advisory services consisting of a review of the Client's submitted subject, private video consultation, prioritized recommendations and a written executive summary, as specified for each engagement. Services are advisory in nature. Halvora does not implement systems, resell products or act as the Client's agent in dealings with third parties.
Recommendations reflect our professional assessment of the information supplied by the Client. Decisions taken on the basis of our recommendations remain the responsibility of the Client.
3. Commissioning process
Engagements are commissioned by email. The website contains no checkout, payment form, booking calendar or automatic confirmation mechanism. The commissioning process is:
- The Client selects an engagement or submits a general inquiry by email.
- Scope, participants and indicative timeline are agreed in writing by email.
- Halvora issues a secure payment link for the fixed fee.
- Upon payment, consultation times are agreed and confirmed by email.
- Deliverables are provided within the stated duration of the engagement.
4. Fees and payment
Each engagement has a single fixed fee in USD, as stated on the Solutions page at the time of commissioning. Fees are payable once, in full, through the secure payment link issued by Halvora. There are no subscriptions, recurring charges or hidden fees.
Applicable taxes, if any, are stated before payment. Bank or payment-provider charges incurred by the Client are the Client's responsibility.
5. Duration and scheduling
The stated duration of each engagement begins on the date confirmed in writing after payment. Consultation sessions are scheduled by mutual agreement by email. Reasonable rescheduling requests made in writing before an agreed session time will be accommodated where possible.
6. Client obligations
- Provide accurate and sufficiently complete information about the subject under review.
- Ensure that appropriate stakeholders are available for the agreed consultation sessions.
- Confirm that the Client has the right to share any material supplied for review.
7. Confidentiality
Material supplied by the Client is treated as confidential and used solely for the purpose of the engagement. Halvora does not disclose Client material or the existence of an engagement without written consent, except where required by law. Specific confidentiality terms may be agreed in writing before material is shared.
8. Intellectual property
Upon full payment, the Client receives a perpetual, non-exclusive licence to use the written deliverables for its internal purposes. Halvora retains ownership of its methodologies, templates and pre-existing material.
9. Cancellation and refunds
Cancellation and refund terms are set out in the Cancellation & Refund Policy, which forms part of these Terms.
10. Limitation of liability
To the extent permitted by applicable law, Halvora's aggregate liability arising from an engagement is limited to the fee paid for that engagement. Halvora is not liable for indirect or consequential loss. Nothing in these Terms limits liability that cannot be limited by law.
11. Disputes
Any question or disagreement arising from an engagement is first addressed in good faith through direct discussion between the Client and Halvora, by email or video consultation, with the aim of reaching a prompt and reasonable resolution before any other step is taken.
